Terms & Conditions (Terms of Service)

Welcome to CalmSphereHealth.com (“Website”), operated by CalmSphere, a Nursing Corporation (“CalmSphere,” “we,” “us,” or “our”). By accessing or using our Website and services, you agree to be bound by these Terms and Conditions. Please read them carefully.

1. Medical Disclaimer
  • Content and services provided on this Website are for informational purposes only and do not constitute medical advice, diagnosis, or treatment.

  • Use of this Website does not establish a provider-patient relationship.

  • For emergencies, call 911 or visit your nearest emergency department.

2. Eligibility and Patient Criteria
  • Services are available to individuals aged 18 and older, or minors with parental/guardian consent.

  • By using this Website, you confirm you are physically located in California or Oregon, or meet our telehealth eligibility requirements.

  • We reserve the right to decline service based on clinical appropriateness or safety concerns.

3. Services Provided
  • CalmSphere offers psychiatric evaluation, medication management, and related healthcare services, both virtually (telehealth) and in-person, by licensed professionals.

  • Initial consultations are for assessment; medication may not be prescribed at the first visit unless clinically indicated.

  • We generally require a pre-assessment and, if appropriate, in-person evaluation.

4. Telehealth Services
  • CalmSphere provides telehealth services using secure, HIPAA-compliant technology.

  • By participating in telehealth, you acknowledge the potential risks, including interruptions, unauthorized access, or technical difficulties.

  • You agree to provide accurate information and be present in a private, safe, and secure environment during telehealth sessions.

  • You must be physically located in a state where CalmSphere is licensed to provide care (California or Oregon).

  • Telehealth may not be appropriate for all conditions; CalmSphere may require in-person visits if clinically indicated.

  • You understand that telehealth is not for emergencies or crisis intervention.

5. Appointment, Cancellation, and No-Show Policy
  • Appointments may be scheduled via the Website, phone, or email.

  • First missed appointment: no charge. Subsequent missed or late cancellations (<24 hours) will incur a charge (half the visit fee for late cancellations, full fee for no-shows).

  • If you are in crisis, call 911 or go to the nearest emergency department. This Website is not for emergency use.

6. Fees, Payment, and Insurance
  • Initial consultation: $300; Follow-up: $150; Documentation: $50 (e.g., FMLA or ESA letters).

  • Payment is due at the time of service unless otherwise arranged.

  • Accepted insurance: Cigna, Aetna, Magellan, BlueCross/BlueShield California. It is your responsibility to verify coverage.

  • Outstanding balances may result in suspension of services.

7. Patient Safety and Clinical Limitations
  • We do not provide crisis intervention. If you are in immediate danger or need urgent psychiatric care, call 911 or visit the nearest ER.

  • We may not accept patients with certain clinical needs (e.g., recent suicide attempt, active hallucinations, need for detox) as outlined in our intake criteria.

  • Controlled substances may require drug testing and are not prescribed in advance.

8. User Responsibilities
  • You agree to provide accurate, current, and complete information on all forms and during all communications.

  • You are responsible for maintaining the confidentiality of your account and for all activities under your account.

  • You agree not to use the Website for unlawful purposes or to seek immediate crisis intervention.

9. Privacy and Security
  • CalmSphere is committed to protecting your privacy. Please review our Privacy Policy for details on how your information is collected, used, and safeguarded.

  • Health information is handled in accordance with HIPAA and applicable state laws.

10. Electronic Communications
  • By using this Website, you consent to receive electronic communications, including emails, appointment reminders, and notifications.

  • You acknowledge that electronic communications may not be 100% secure and accept this risk.

11. Intellectual Property
  • All content, including text, graphics, logos, images, and software, is the property of CalmSphere and is protected by copyright and trademark laws.

  • You may not copy, modify, distribute, or use any content without written permission.

12. Limitation of Liability
  • CalmSphere is not liable for any damages arising from your use of, or inability to use, the Website or services.

  • We do not guarantee uninterrupted or error-free operation of the Website.

  • Under no circumstances will CalmSphere’s liability exceed the amount paid by you for services.

13. Indemnification
  • You agree to indemnify, defend, and hold harmless CalmSphere and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses arising from your use of the Website or violation of these Terms.

14. Third-Party Services
  • The Website may contain links to third-party sites or services (e.g., scheduling, payment, or EHR tools). CalmSphere is not responsible for the content, privacy, or practices of these third parties.

15. Arbitration Agreement
  • Any and all claims, disputes, or controversies between you and CalmSphere arising out of your use of the Website or services shall be resolved by binding arbitration in accordance with the Federal Arbitration Act and, if applicable, the California Arbitration Act.

  • Arbitration will be administered by the American Arbitration Association (“AAA”) in Orange County, California under its rules then in effect, unless otherwise agreed.

  • Either party may seek injunctive relief as permitted by law.

  • The arbitrator(s) shall have no authority to extend, modify, or suspend any provisions of these Terms unless required by law.

  • By agreeing to arbitration, you and CalmSphere waive any rights to a jury trial or to have a judge decide any issues, except as otherwise provided by law.

  • Judgment upon any award rendered by the arbitrator(s) may be entered in any court having jurisdiction.

  • If any provision of this arbitration agreement is held invalid, the remaining provisions shall remain enforceable to the fullest extent permitted by law.

16. Governing Law
  • These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

  • Any disputes arising under these Terms shall be resolved in the courts or arbitration forums of Orange County, California.

17. Modifications and Updates
  • CalmSphere reserves the right to modify these Terms at any time. Changes will be posted on this page with a new “Effective Date.”

  • Continued use of the Website after changes are posted constitutes acceptance of those changes.

18. Termination
  • CalmSphere may terminate or suspend your access to the Website or services at any time for any reason, including violation of these Terms.

19. Severability
  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

20. Entire Agreement
  • These Terms constitute the entire agreement between you and CalmSphere regarding your use of the Website and services.
